This agreement is entered into by participating company hereinafter referred to as “Client”, and Gueststream, Inc. hereinafter referred to as “Agent”. For and in consideration of the mutual promises contained herein, the Client and Agent do hereby covenant, contract and agree as follows:

1. AGENCY: Subject to the terms of this agreement, Client does hereby appoint Agent as its agent for the following purposes:
   • Provide the Vacation Rental Platform Central (VRPc) account access and network connectivity to Client Property Management Software (PMS) data.
2. DUTIES: Agent shall perform the following duties in reference to this agreement.
   • 30 Day Free Trial Period
   • Provide documentation and support for WordPress Plugin; VRPconnector
   • Provide Connectivity to client PMS system for unit data and reservation data feed
   • Provide quality of service outlined in Gueststream’s Service Level Agreement (SLA). www.gueststream.com/sla
   • Provide Email ticket system for product support; [email protected]
3. COMPENSATION: Client shall pay unto Agent:
   • Monthly License Fee – Dev. License Level
   • Client agrees to provide valid credit card to be used for “auto-pay” monthly payments
4. TERM: This agreement shall extend for a period of 30 days from the date of purchase.
5. RENEWAL: This agreement shall be automatically renewed: in one (1) month increments unless either party gives 30 days written notice to the other prior to the expiration of any one contract period of their intent not to renew. Cancellation notice must be emailed to [email protected]
6. MODIFICATION: This agreement may not be modified except by amendment reduced to writing and signed by both Client and Agent. No waiver of this agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof.
7. SUPPORT: Client agrees to use the VRPconnector/VRPcentral support documentation, email support ticket system or purchase an optional support Maintenance Block. Telephone support will invoiced at the hourly rate of $100/hr.
8. ENTIRE AGREEMENT: This agreement constitutes the entire agreement between the parties hereto and replaces and supersedes all prior agreements between the parties relating to this same subject matter.
9. GOVERNING LAW: This agreement shall be construed in accordance with the laws of the State of Colorado.
10. PARTIAL INVALIDITY: In the event any provision hereof shall be for any reason illegal or unenforceable, the same shall not affect the validity or enforceability of the remaining provisions.
11. ATTORNEY FEES: In the event that the agreements become subject to litigation between the parties hereto, the parties agree that the prevailing party shall be entitled to an award of attorney’s fees, costs and the prevailing statutory interest from the other party.
